7.1 Company Intellectual Property
Unless otherwise agreed in writing, Stashlar Technologies retains ownership of its pre-existing intellectual property, including its proprietary tools, frameworks, libraries, reusable components, methodologies, templates, know-how, and website content.
Nothing in these terms grants you ownership of our intellectual property except as expressly agreed in writing.
7.2 Client Deliverables
Ownership and licensing rights in custom software, source code, designs, documentation, and other project deliverables will be governed by the applicable written agreement.
Where the agreement does not expressly address ownership or licensing, the parties should clarify these rights in writing before delivery or commercial deployment.
7.3 Third-Party Components
Software and services may incorporate open-source software, third-party libraries, APIs, fonts, or other licensed components. Such components remain subject to their respective licence terms.
Neither party may grant rights in third-party materials beyond the rights it is authorized to grant.
8. Confidentiality
Both parties may receive confidential business, technical, financial, operational, or commercial information during an engagement.
Each party agrees to use the other party's confidential information only for the purposes of the relevant business relationship and to take reasonable measures to prevent unauthorized disclosure.
Confidentiality obligations do not apply to information that the receiving party can demonstrate:
- Is publicly available through no breach of an obligation.
- Was lawfully known to the receiving party before disclosure.
- Was independently developed without using confidential information.
- Was lawfully received from a third party without a confidentiality restriction.
Disclosure required by law may be made to the extent legally required.
Where necessary, the parties may enter into a separate non-disclosure agreement.
9. Privacy and Data Protection
Our collection and use of personal information are described in our Privacy Policy.
When providing services that involve processing client or end-user data, we will handle such information in accordance with applicable law and the relevant contractual arrangements.
Clients are responsible for ensuring that they have the necessary rights, permissions, and lawful basis to provide personal information to us for processing.
Both parties should implement appropriate safeguards for the information and systems under their respective control.
10. Third-Party Services and Integrations
Our website or software solutions may integrate with or link to third-party products, platforms, APIs, cloud providers, payment gateways, or other services.
Such third-party services may be governed by separate terms, privacy policies, service levels, and availability commitments.
Unless expressly agreed otherwise in writing, Stashlar Technologies does not control independent third-party services and is not responsible for changes, outages, or policies attributable to those providers, except to the extent liability cannot lawfully be excluded or arises from our own contractual obligations.
11. Software Availability, Maintenance, and Support
Software performance and availability may depend on infrastructure, hosting environments, third-party services, client systems, network connectivity, and other technical factors.
Unless a separate service-level agreement or written contract provides otherwise, we do not guarantee uninterrupted or error-free availability of every website, application, or service.
Maintenance, upgrades, patches, technical support, response times, and service availability commitments will be determined by the applicable service agreement.
We may carry out reasonable maintenance and security updates where necessary to maintain or improve our services.
12. Warranties and Disclaimers
We will provide contracted services in accordance with the applicable agreement and any warranties expressly included in that agreement.
Except for express contractual commitments and warranties that cannot be excluded under applicable law, our website and general informational content are provided on an “as available” basis.
We do not guarantee that every software solution will be compatible with every environment, meet requirements that were not agreed upon, or achieve a particular business, financial, or commercial outcome.
Any specific software warranty, defect-correction period, or acceptance guarantee should be set out in the relevant project agreement.
13. Limitation of Liability
To the extent permitted by applicable law, neither party will be liable to the other for indirect or consequential losses, including loss of anticipated profits, business opportunities, goodwill, or data, where such losses are legally excludable.
Any exclusion or limitation of liability under a project agreement must be expressly agreed and interpreted in accordance with applicable law.
Nothing in these Terms and Conditions excludes or limits liability where such exclusion or limitation is prohibited by law, including any liability that cannot legally be waived.
Where appropriate, the parties should establish a specific liability cap, exceptions to that cap, and procedures for handling claims in their written agreement.
14. Indemnification
To the extent permitted by applicable law and the relevant agreement, a party may be responsible for losses, claims, or expenses arising from its own unlawful conduct, infringement of third-party rights, material breach of contractual obligations, or misuse of the other party's systems or intellectual property.
The scope of any indemnification obligation, including notice requirements, defence procedures, and settlement approval, should be specified in the applicable written agreement.
15. Suspension and Termination
We may suspend access to a website or service where reasonably necessary to address security threats, unlawful activity, material breaches, or risks to our systems, subject to applicable law and contractual obligations.
Either party may terminate a service engagement in accordance with the termination provisions of the applicable agreement.
Upon termination, the parties will address outstanding payments, delivery of completed work, return or deletion of confidential information, data export, and continuing licence or confidentiality obligations as specified in the relevant agreement.
Termination will not affect rights or obligations that accrued before termination or provisions intended to survive it.
16. Force Majeure
Neither party will be responsible for a delay or failure to perform to the extent it is caused by circumstances beyond its reasonable control, such as natural disasters, war, civil unrest, widespread infrastructure failures, government restrictions, or major disruptions to telecommunications or essential third-party services.
The affected party should notify the other party as reasonably practicable and take reasonable steps to reduce the impact.
This clause does not automatically excuse payment obligations that have already become due or override mandatory legal requirements.
17. Changes to These Terms
We may update these Terms and Conditions from time to time to reflect changes in our services, business practices, technology, or applicable legal requirements.
The updated version will be published on our website with a revised “Last Updated” date.
Where required by law or an existing agreement, we will provide appropriate notice or obtain any necessary consent.
Changes to these website terms will not automatically amend a separately executed customer agreement unless that agreement permits the amendment or the parties otherwise validly agree.
18. Governing Law and Jurisdiction
These Terms and Conditions are governed by the laws of India, to the extent applicable.
Subject to mandatory legal requirements and any valid dispute-resolution agreement, disputes will be submitted to the competent courts having jurisdiction under applicable law.
Any arbitration or alternative dispute-resolution procedure must be established through a valid agreement between the relevant parties.
19. Severability
If any provision of these Terms and Conditions is found to be invalid, unlawful, or unenforceable, the remaining provisions will continue to apply to the extent permitted by law.
The invalid provision will be interpreted or modified only to the extent legally permissible to reflect its original purpose.
20. Entire Agreement
These Terms and Conditions govern general use of our website unless a separate agreement applies.
For specific software development projects, subscriptions, consulting engagements, support arrangements, or other contracted services, the relevant signed agreement, statement of work, order form, or service-specific terms may supplement or take precedence over these website terms where expressly provided.
